Welcome to Marketing Vines. These Terms and Conditions ("Terms") govern your use of our website, services, and communications with Marketing Vines, LLC ("Marketing Vines," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.


1. Services

Marketing Vines offers branding, website design, search engine optimization ("SEO"), digital marketing, website hosting, maintenance, and related services. Services are provided according to the client's selected service plan, proposal, agreement, or other written scope of work.


Marketing Vines offers multiple monthly website and SEO service plans with varying levels of website support, content development, SEO work, local SEO, backlink development, and ongoing optimization. Services are limited to the scope of the client's selected plan.


Website Plan – $265/month

The Website Plan provides professional website design, hosting, maintenance, and foundational search optimization completed as part of the website development and launch process.


The Website Plan may include:

  • Professional logo and branding services
  • Custom website design and development
  • Website hosting and domain services
  • Ongoing website maintenance
  • Up to five (5) professional email inboxes
  • Initial keyword research
  • Pre-launch on-page SEO optimization
  • Technical SEO setup associated with website launch
  • Access to the Marketing Vines Dashboard with 24/7 website and performance statistics


Initial keyword research and pre-launch SEO optimization are performed as part of the website development and launch process. The Website Plan does not include ongoing monthly SEO services, ongoing content creation, backlink development, ongoing local SEO campaigns, Google Business Profile management, reputation management, or other recurring SEO services unless separately purchased.


Routine website maintenance under the Website Plan is intended for reasonable minor updates necessary to keep the website accurate and operational. Examples may include:

  • Updating phone numbers, addresses, business hours, or contact information
  • Updating logos or branding assets
  • Adding or replacing a reasonable amount of photos or media
  • Minor text edits or corrections
  • Routine website maintenance and platform-related updates


The Website Plan does not include unlimited revisions, unlimited redesign requests, complete website rebuilds, extensive website restructuring, advanced custom development, large-scale content rewrites, third-party platform migrations, or ongoing custom design requests.


Website maintenance and included updates under the Website Plan are limited to a maximum of two (2) standard billable labor hours per calendar month. Work requested beyond the included scope or time allowance may be billed separately at Marketing Vines' then-current hourly rate or may require a separate project agreement or service-plan upgrade.


SEO Foundation – $375/month

The SEO Foundation Plan includes the Website Plan plus entry-level ongoing SEO services intended to establish and improve the client's organic search presence over time.


The SEO Foundation Plan may include:

  • All services included in the Website Plan
  • Ongoing on-page SEO
  • One (1) SEO content piece per month
  • Internal linking optimization
  • Local citation building
  • Basic Google Business Profile setup and initial optimization
  • Keyword and ranking tracking
  • Ongoing SEO maintenance
  • Access to the Marketing Vines Dashboard with 24/7 performance statistics


Basic Google Business Profile setup and optimization under this plan does not include ongoing Google Business Profile posting, photo publishing, review-response management, reputation management, or ongoing profile-management services.


Those services may be available separately through Marketing Vines' Local Visibility Management add-on.


SEO Growth – $795/month

The SEO Growth Plan includes the SEO Foundation Plan plus expanded on-page SEO, content development, competitive optimization, and local search visibility services.


The SEO Growth Plan may include:

  • All services included in the SEO Foundation Plan
  • RivalFlow 2.0 or comparable content optimization services
  • Expansion and improvement of existing service pages
  • Development of additional SEO-focused website content
  • Competitor content and keyword strategy
  • Advanced on-page SEO
  • Strategic internal linking
  • Technical SEO monitoring
  • Local SEO optimization
  • Expanded local citation development
  • Local rank tracking
  • Access to the Marketing Vines Dashboard with 24/7 performance statistics


Local visibility services included in the SEO Growth Plan relate to SEO activities intended to improve visibility in local search results.


The SEO Growth Plan does not include ongoing Google Business Profile posting, review-response management, reputation management, ongoing photo publishing, or other services included in Marketing Vines' separate Local Visibility Management add-on.


SEO Elite – $1,395/month

The SEO Elite Plan includes the SEO Growth Plan plus expanded off-page SEO, backlink development, link-building strategy, and authority-building services.


The SEO Elite Plan may include:

  • All services included in the SEO Growth Plan
  • Ongoing link-building activities
  • Backlink development
  • Outreach to relevant websites, publishers, organizations, or other potential linking sources
  • Authority-building placements
  • Competitor backlink analysis
  • Backlink gap analysis and strategy
  • Off-page SEO
  • Advanced authority-building activities
  • Priority support
  • Access to the Marketing Vines Dashboard with 24/7 performance statistics


Backlink acquisition and third-party placements are dependent upon factors outside Marketing Vines' control, including publisher approval, website quality standards, editorial decisions, third-party availability, and industry conditions. Marketing Vines does not guarantee a specific number of backlinks, specific domain authority levels, specific placements, or acceptance by any third-party website.


The SEO Elite Plan does not include ongoing Google Business Profile posting, review-response management, reputation management, or similar ongoing profile-management services unless those services are separately purchased.


Local Visibility Management Add-On

Local Visibility Management is an optional recurring service that may be purchased separately from Marketing Vines' Website and SEO plans.


Depending on the selected scope, Local Visibility Management may include:

  • Ongoing Google Business Profile management
  • Google Business Profile posts
  • Photo publishing
  • Review-response management
  • Reputation monitoring
  • Business information updates
  • Google Business Profile optimization
  • Local rank tracking
  • Other agreed-upon local profile management services


Local Visibility Management is a separate service and is not automatically included in the Website Plan, SEO Foundation, SEO Growth, or SEO Elite unless expressly stated in writing.


Pricing and specific scope for Local Visibility Management may be established in the client's proposal, service agreement, order form, or other written documentation.


Website Updates and Reasonable Use

Where a selected service plan expressly includes unlimited reasonable website updates or revisions, "unlimited" applies to reasonable business-related website requests completed during normal business operations.


Unlimited updates do not include:

  • Complete website rebuilds
  • Major redesign projects
  • Custom software or application development
  • Third-party platform migrations
  • Large-scale data-entry projects
  • Extensive content-production projects outside the selected plan
  • Emergency or after-hours work
  • Requests that substantially exceed normal website-management activity


Marketing Vines reserves the right to determine reasonable usage and may recommend project-based pricing, hourly billing, or a different service plan for work outside the intended scope of an ongoing monthly plan.


AI-Written Content Submissions

Marketing Vines reserves the right to decline, edit, rewrite, or refuse client-provided content, including content generated primarily through artificial intelligence ("AI") tools, when we determine that such content may negatively impact website quality, user experience, brand consistency, SEO performance, factual accuracy, or long-term search visibility.


AI tools may be used to assist with research, brainstorming, drafting, optimization, or editing. Marketing Vines does not support the indiscriminate replacement or rewriting of entire websites using low-quality, unreviewed, or mass-produced AI-generated content.


Marketing Vines may recommend or create professionally reviewed, edited, or original content strategies that we believe better support the client's brand, users, and long-term marketing objectives.


2. Payment Terms

  • Monthly Plans: Monthly services are billed on a recurring basis and automatically renew unless canceled in accordance with these Terms.
  • Add-On Services: Recurring add-on services are billed according to the pricing and terms agreed upon with the client.
  • Custom Projects: Custom work, one-time services, and projects outside the selected monthly plan will follow the payment terms contained in the applicable proposal or agreement.
  • Late Payments: Failure to make payment when due may result in suspension of services, website access, hosting, email services, SEO work, or other services until the account is brought current.
  • Cancellation: Clients may cancel monthly services at any time by providing written notice. No partial-month or prorated refunds will be issued for a billing period that has already begun.


Cancellation of one service does not automatically cancel other separately purchased services or add-ons unless expressly requested by the client.


3. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information needed to perform the requested services
  • Provide necessary access to websites, domains, accounts, profiles, platforms, and third-party services when required
  • Review and approve drafts, content, designs, or requested materials within reasonable timeframes
  • Maintain accurate ownership or usage rights for content, photographs, logos, trademarks, and other materials supplied to Marketing Vines
  • Not use Marketing Vines' services for unlawful, fraudulent, misleading, defamatory, infringing, or unethical purposes


Clients may use the Marketing Vines Dashboard, a white-labeled client platform, which provides 24/7 access to available website performance statistics, analytics, form responses, and other reporting or visibility data supported by the platform and the client's selected services.


Marketing Vines does not provide monthly SEO reports unless expressly included in a separate written agreement.


Clients are solely responsible for the legality, accuracy, ownership, and authorization of content, images, claims, trademarks, data, products, services, and other materials they provide or request to be used in websites or marketing materials.


4. Intellectual Property

  • All original designs, content, code, branding materials, and other deliverables created by Marketing Vines remain the property of Marketing Vines until all amounts due for those deliverables have been paid in full.
  • Logos, brand kits, websites, and other approved client deliverables developed by Marketing Vines may be transferred to the client following full payment of all outstanding balances.
  • Websites developed using the Duda platform may be transferred through Duda subject to Duda's platform policies, technical limitations, account requirements, and applicable third-party terms.
  • Marketing Vines retains ownership of its proprietary processes, templates, methods, internal systems, strategies, tools, prompts, workflows, software, and know-how unless expressly transferred in writing.
  • Marketing Vines retains the right to display completed projects in its portfolio, website, social media, presentations, or promotional materials unless otherwise agreed in writing.


5. Website Hosting and Uptime

Marketing Vines uses third-party platforms and hosting providers that are intended to provide reliable website availability and performance.


Marketing Vines cannot guarantee 100% uninterrupted uptime or continuous availability.


Marketing Vines is not responsible for outages, platform failures, cyberattacks, service interruptions, data loss, third-party software failures, internet disruptions, domain-provider issues, or other events beyond our reasonable control.


6. SEO & Marketing Performance

Marketing Vines uses SEO and digital marketing practices intended to improve website quality, search visibility, content relevance, local visibility, authority, and overall marketing performance.


SEO and digital marketing results depend on numerous factors outside Marketing Vines' control, including:

  • Search-engine algorithms
  • Competitor activity
  • Website history and authority
  • Industry competitiveness
  • Search demand
  • User behavior
  • Third-party websites
  • Backlink acceptance and retention
  • Google Business Profile policies
  • Search-engine indexing
  • AI and LLM platform behavior
  • Changes to search-result layouts
  • Client responsiveness and implementation decisions

Marketing Vines does not guarantee specific rankings, traffic levels, leads, conversions, backlink quantities, domain authority, revenue, inclusion in AI-generated responses, Google Business Profile visibility, or other specific marketing outcomes.


SEO is an ongoing process, and results may take time to develop.


Marketing Vines may change tactics, tools, content approaches, platforms, or optimization methods when reasonably necessary to respond to search-engine changes, competitor activity, technology changes, or evolving industry practices.


7. Third-Party Platforms and Tools

Marketing Vines may use third-party platforms, software, AI tools, analytics systems, hosting providers, SEO platforms, website platforms, email providers, domain registrars, and other technologies while providing services.


These third-party products may change their features, pricing, policies, functionality, availability, or terms without notice.


Marketing Vines is not responsible for disruptions, limitations, policy changes, account suspensions, algorithm changes, platform decisions, data discrepancies, or other actions taken by third-party providers.


Where a named technology or service is included in a Marketing Vines plan, Marketing Vines may substitute a comparable tool, service, or process when reasonably necessary due to availability, product changes, discontinuation, or operational requirements.


8. SMS and Email Communications

If you opt in to receive SMS or email communications:

  • You agree to receive service-related and promotional communications from Marketing Vines.
  • Message frequency may vary.
  • Message and data rates may apply.
  • You may opt out of SMS messages at any time by replying STOP.
  • You may request assistance by replying HELP.
  • You may unsubscribe from marketing emails using the unsubscribe link provided in those communications.
  • SMS consent is not shared with third parties for their own marketing purposes.


By opting into SMS through a website form or other method, you agree to receive SMS messages from Marketing Vines, including messages related to customer care and service communications.

9. Termination of Service

Marketing Vines reserves the right to suspend or terminate services, access to systems, or an ongoing business relationship if a client:

  • Violates these Terms
  • Fails to make timely payments
  • Misuses Marketing Vines' services
  • Engages in unlawful, abusive, fraudulent, threatening, or unethical conduct
  • Requests work Marketing Vines reasonably believes could create legal, reputational, technical, or security risks
  • Engages in conduct detrimental to the working relationship

Marketing Vines also reserves the right to discontinue services or cease working with a client at its discretion, subject to any applicable written agreement.


Upon termination and payment of all outstanding balances and final invoices, the client will receive ownership or transfer of approved deliverables and client assets that are eligible for transfer, including applicable website assets, branding materials, and Brand Kit materials.


If Marketing Vines registered or acquired a domain name on behalf of the client, the domain may be transferred to the client following payment of all outstanding balances, subject to registrar policies and technical transfer requirements.


Third-party subscriptions, licenses, software, email accounts, hosting services, or platform functionality may require separate accounts or ongoing payments by the client after termination or transfer.


10. Limitation of Liability

To the fullest extent permitted by applicable law, Marketing Vines shall not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to the use of, inability to use, or performance of our services.


Marketing Vines' total aggregate liability arising from or relating to the services shall not exceed the amount actually paid to Marketing Vines by the client during the ninety (90) days immediately preceding the event giving rise to the claim.


11. Disclaimer of Warranties

All services are provided "as is" and "as available" without warranties of any kind, whether express or implied, except as expressly stated in a written agreement.

Marketing Vines makes no guarantee regarding the availability, accuracy, reliability, uninterrupted operation, ranking performance, marketing results, third-party platform availability, or suitability of services for any particular purpose.


To the fullest extent permitted by law, Marketing Vines disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Clients acknowledge that marketing, website, SEO, backlink, local-search, AI-search, and business results vary and depend upon factors outside Marketing Vines' control.


12. Force Majeure

Marketing Vines shall not be liable or considered in breach of these Terms for delays, interruptions, or failures in performance caused by circumstances beyond our reasonable control.


Such circumstances may include, without limitation:

  • Natural disasters
  • Severe weather
  • Power outages
  • Internet outages
  • Labor disputes
  • Server or infrastructure failures
  • Cyberattacks
  • Acts of God
  • Governmental actions
  • War, terrorism, or civil unrest
  • Public-health emergencies
  • Search-engine algorithm changes
  • Google Business Profile policy changes
  • Duda outages or platform changes
  • Third-party software outages
  • Domain registrar failures
  • Changes to AI, LLM, search, advertising, or other digital platforms


13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles.


The parties agree to first attempt to resolve any dispute arising from these Terms or Marketing Vines' services through good-faith negotiation.


If the dispute cannot be resolved through negotiation, the dispute shall be submitted to binding arbitration in Fulton County, Georgia.


Each party shall bear its own legal fees and costs unless otherwise required by law or determined by the arbitrator.


14. Entire Agreement

These Terms, together with any applicable proposal, service agreement, contract, order form, statement of work, or other written agreement between Marketing Vines and the client, constitute the entire agreement between the parties regarding the applicable services.


They supersede prior or contemporaneous understandings, communications, representations, or agreements concerning the same subject matter, whether written or oral.

No verbal promise, representation, or modification shall be binding unless confirmed in writing by Marketing Vines.


If there is a conflict between these Terms and a separately signed written agreement, the terms of the signed agreement will control to the extent of that conflict.
